Client Portal Terms and Conditions

 

Introduction

 

Welcome to our client portal, from which you will be able to access our online services, such as BoultRenew™.

 

Before you decide to proceed, please review the following terms and conditions, which will always apply when you use the portal and any of our online services. By ticking below to accept these terms and conditions, you confirm that you understand and accept them. You also confirm, by clicking below, that you are – where relevant - authorised to provide instructions on behalf of the IP right owner.

 

If you want to use BoultRenew™, then additional terms and conditions will apply.

 

We reserve the right to change these terms and conditions at any time. Any material changes will be clearly presented to you the next time that you access the portal. You will need to tick to confirm that you understand and accept any such updated terms and conditions before you can continue to use the portal and any of our online services.

 

(1)        Accuracy of Data

 

As you will know, we endeavour to maintain accurate, error-free records for our clients. Nevertheless, very occasionally errors do arise. Should you identify any errors in the data in any of the facilities accessed, we request that you advise us as soon as possible, preferably by email to ClientPortalSupport@boult.com.

 

(2)        Access and Support

 

We shall of course endeavour to ensure that access to our portal and our other online services is available at all times. However from time to time, the portal or the online services may not be available, either owing to unscheduled service interruptions, or through scheduled maintenance. In the case of scheduled maintenance, we shall aim to provide adequate warning of this. Should the service be unavailable for any reason, then instructions may be forwarded in writing by mail, facsimile or email. This does not, however, override our requirement for prepayment of fees (where relevant), before we can accept renewals instructions, for those users to whom we do not extend credit.

 

For the avoidance of doubt, Boult Wade Tennant cannot be held responsible for any delay or failure to provide the portal or the online services as a consequence of acts or omissions of third parties, including without limitation, internet service providers, data centres, server hosting companies and telecommunications companies. We also cannot be held responsible if payment cannot be effected through Worldpay®, as a consequence of problems with WorldPay’s service outside of our own control.

 

(3)        Login Details and Security

 

The login information and password that we issue to you is personal to you. Please do not share a login or password. There is no limit to the number of different logins and passwords that we are able to issue for a particular client, so if you require multiple people within an organisation to have access, please have each individual request their own personal login and password.

 

If you become aware of any potential disclosure of your login and password to unauthorised third parties, please advise us immediately. We reserve the right to suspend your account, if we suspect that fraudulent use has occurred, until we have confirmed that instructions we have received were indeed authorised by you.

 

(4)        Confidentiality

 

We shall treat all information that you provide to us via the portal and our other online services with the same strict confidence as we treat all other information that you supply to Boult Wade Tennant LLP.

 

(5)        Statutory Regulations

 

Both you and we undertake to use reasonable endeavours to ensure that, through the use of the portal and the online services, there is compliance, to the extent possible, with all relevant statutory provisions, including but not limited to e-commerce, data protection, fraud and anti-money laundering regulations .

 

(6)        Fees

 

There is no fee for registration or use of the portal or our other online services (but some of the online services enable you to instruct us to carry out work that is chargeable).

 

(7)        IP Rights

 

Our client portal and the online services available through it were developed by, and are wholly owned by, Boult Wade Tennant LLP. Please do not modify, translate, create or attempt to create derivative copies of, or copy, BoultRenew™, the software, any content and/or the portal in whole or in part. Please also do not reverse engineer, decompile, disassemble or otherwise reduce the object code of the service, the software and/or the portal to source code form. We also request that you do not distribute, sub-licence, assign, share, time-share, sell, rent, lease, transmit, grant a security interest in or otherwise transfer the rights that we have granted you to access this service.

 

(8)        Compatibility with the Terms and Conditions set out in our Letter of Engagement

 

The Terms and Conditions set out in this document are intended to be IN ADDITION to the Terms and Conditions that you will have agreed with Boult Wade Tennant upon first engaging our services, which will have been set out in our Letter of Engagement. Nothing in this document is intended to supersede those Terms and Conditions set out in our Letter of Engagement to you.
